1. Terms of Use

These Terms of Use, including the Privacy and Security Policy, govern access and use of all WLabs Systems/Platforms.

For the purposes of interpreting these Terms of Use, the definitions below should be applied:

  • “WLabs”: A set of Systems/Platforms that provide functionalities for use by Users; in these Terms of Use, "WLabs" refers to the system WBudget (www.wbudget.com.br);
  • “Client”: A person properly registered as a subscriber to the Platform (after subscribing to one of the plans and functionality packages);
  • “Document”: A file generated and/or uploaded to the Platform to be signed and/or shared electronically.
  • “User – Signatory”: A person who uses the Platform to sign a Document.
  • “User”: Client, Signatory, Agent, and other people who use the Platform by any means.

Once accepted, these Terms of Use will govern the relationship between the User and WLabs, outlining rights, obligations, and other important aspects for using the services and functionalities offered.

Acceptance of these Terms of Use

By accepting these Terms of Use, the User declares to have read and understood all content, with no objections, and automatically agrees to these terms, as well as the privacy and security policy attached to them.

Full acceptance is a prerequisite for registration and use of the functionalities offered by WLabs.

Updates to these Terms of Use

At any time, these Terms of Use may be updated to modify their content. In such cases, the User will be informed and invited to accept the changes.

Acceptance of any changes to these Terms of Use is essential to maintain registration and/or use the functionalities offered by WLabs.

If the User does not agree with any modification or update of these Terms of Use, they should contact us by email at [email protected]. We will do our best to clarify any doubts.

2. Privacy Policies

These Privacy Policies establish how we use and protect all the information you provide when interacting with this platform.


Information Collected

To access the services and functionalities offered by WLabs, you will need to register in our system by providing some information, such as email address, full name, company data, address, and contact phone number.

The Personal Data collected, under this Policy, will be used for the following purposes:

  1. Fulfill our obligations to the client;
  2. Comply with applicable legal and/or regulatory requirements;
  3. Provide you with our products with the best experience and personalized usage;
  4. Notify you about any changes in our products;
  5. Strengthen our security and protection procedures to ensure safety and efficiency;
  6. Perform internal operations, including customer support, data owner support, troubleshooting, satisfaction surveys, data analysis, testing, research, and statistics;
  7. Detect and prevent fraud.

WLabs does not share, lend, or sell your data to third parties.


Use of Cookies

WLabs may use cookies or similar techniques to store your preferences or customizations in our system.


Your Rights as a Data Subject

The General Data Protection Law (LGPD) grants several rights to data subjects. Therefore, you, as the data subject, can make the following requests to WLabs according to the rights provided in the Law: confirmation of the existence of processing, access to personal data, correction of incomplete, inaccurate, or outdated data, anonymization, blocking or deletion of data, portability of personal data, information about the sharing of personal data, information about the possibility of not providing consent, as well as being informed about the consequences in case of denial, revocation of consent, opposition to the processing of personal data, review of decisions made solely based on automated processing of personal data affecting the interests of data subjects.


Updates to this Privacy Policy

These Privacy Policies may be updated at any time, which may lead to modifications in their content. In such cases, you will be informed and invited to accept the changes.

Acceptance of any changes to these Privacy Policies is essential for maintaining your registration and using the functionalities offered by WLabs.

If you do not agree with any modification or update to these Policies, you should contact us via email at [email protected]. We will do our best to clarify any doubts.

Once accepted, these Privacy Policies will govern the relationship between you and WLabs, outlining rights, obligations, and other important aspects for using the services and functionalities offered by our platforms.

3. Use of Our Services

Using our services or functionalities does not guarantee the User intellectual property or the right to use any trademarks, logos, or contents used by WLabs.

WLabs does not permit the use of services and functionalities for purposes prohibited by applicable law.

The services and functionalities offered by WLabs are merely tools to assist the User or their business, not guaranteeing specific results, a certain level of performance, or goal achievement.

All content, information, and documents generated and/or inserted by the User are their sole responsibility, as well as the way they use the services and functionalities offered by WLabs.

The User is obligated to ensure the full accuracy, truthfulness, and authenticity of all information or documents provided, as well as to keep them updated.

After registering on the Platform/System, the Client will gain access to the functionalities offered by WLabs through exclusive “login” and password. The Client is solely responsible for the use of this information, and must always keep it secure from unauthorized use by third parties.

WLabs will not be held responsible for any damages resulting from improper or unauthorized use of the User's login and password, with or without their knowledge. The User must immediately notify WLabs if they detect any misuse or unauthorized access of their Account.

The Client acknowledges and agrees that:

  1. The document generation and electronic signature authentication procedures provided by WLabs are suitable for their purposes;
  2. They are responsible for being diligent and verifying the identity of all Users – Signatories (people who use WLabs to sign a Document);
  3. The Platform provides an adequate level of confidentiality, integrity, availability, and authenticity for their purposes;
  4. Documents should be considered as having integrity and should be qualified as originals;
  5. The Platform provides a reliable report on the flow, content, and actions related to any generated and/or uploaded Document;
  6. They are solely responsible for keeping their payment methods updated and functional.

Authorizations for Signature by Users – Signatories

The User – Signatory acknowledges and agrees that, by executing the authentication procedures to sign a Document electronically on the Platform, they authorize WLabs to permanently register their authentication points (such as name, email, IP address) and other relevant information such as time and events, in a file logically associated with the Document (“Log”). The Log is considered an integral part of the respective Document to be signed.

The User – Signatory acknowledges and agrees that their signature means that:

  1. They had regular access to the Document and the opportunity to examine its full content and form;
  2. Their capacity as User – Signatory is correctly reflected in the qualification of their signature;
  3. They intended to sign for all purposes indicated in the Document.

The User – Signatory acknowledges and agrees that all information provided is true and that they have all the rights and powers to sign the Document. If the signature is for representing a minor, the User – Signatory declares that they have legitimate authorization to do so.


Use of Services and Features in Testing Phase (Beta Version).

The Beta Version refers to the development phase of any service or functionality offered by WLabs. It means that such product is not in its final development stage and still needs testing, improvements, or pre-launch. Therefore, this version is not considered final and complete.

The invited Client participating in the testing of any product in Beta Version acknowledges and agrees that the functionalities and services offered in this condition are still under development and may contain errors, defects, or incomplete functionalities. WLabs does not guarantee the stability, functionality, or adequacy of Beta Version products for any specific purpose and is not responsible for any damages, losses, liabilities, or problems resulting from their use.

WLabs reserves the right to modify, abandon, or impose limitations on the use of any service or functionality in Beta Version at any time, with or without prior notice and without any obligation or responsibility.

4. Security and Data Protection

Security Practices

All information traffic is encrypted with 256-bit SSL encryption. Therefore, you will notice the HTTPS prefix (Hyper Text Transfer Protocol Secure) in the URL of your browser. This adds an extra layer of security for you.

Our servers are protected by a perimeter firewall, accessible only internally within our facilities, and only by duly authenticated users.

If desired, the Client can request that access to the System be limited to a specific IP range (service subject to prior contract and additional payment).

Front-End components and Back-End rules are developed using techniques to prevent DDOS attacks, DNS cache poisoning, Cross Site Request Forgery, and Network Sniffing.

All server requests are pre-validated through dynamically encrypted access tokens containing browser information, IP, and the date of the last access, preventing Session Hijacking attacks.

All requests associated with transactions containing sensitive data are authenticated on the server and database layers.

To prevent Brute Force attacks, there is a limit to the number of consecutive LOGIN attempts.

All Front-End source code is obfuscated with a high compression level, further increasing the security of the entire system.

Our emails will always be sent from senders with the suffix @wlabs.com.br. If you are receiving emails from other sources, contact us via [email protected]. We will do our best to clarify any doubts.

In addition to the practices mentioned above, WLabs uses various other methods and technologies to ensure security for its Systems/Platforms. However, for the total obscurity of the adopted security protocols, the detailing of such methods is omitted.


Data Protection

WLabs partners with Amazon Web Services (AWS), the most widely adopted and comprehensive cloud platform in the world.

Data is stored in encrypted disks installed on mirrored redundant machines located in geographically separated data centers. This strategy ensures that WLabs' Systems have a level of availability comparable to the largest companies in the market.

Additionally, WLabs has local servers that perform daily backups (done during non-business hours) of all system data. In extreme cases (simultaneous permanent failure of all data centers), WLabs will offer clients the option to recover data up to the last backup date. This request can be made at any time, subject to an operation fee.

If the Client is interested, WLabs offers daily database backup service. This functionality allows a copy of the database to be sent daily to a Client's folder through Google Drive. (service subject to prior contract and additional payment).


5. Payment

To access the functionalities offered by the WLabs platforms, the User must choose a subscription plan and one of the available payment methods: bank slip or credit card (in the latter case, the User must associate a valid credit card with their account).

The subscription plans for WLabs solutions can be contracted on a monthly or annual basis, with the latter allowing the Client to benefit from special conditions with a discount.

The prices of subscription plans may be adjusted annually, with a maximum increase of 20% (twenty percent) per year, regardless of the chosen contract option (monthly or annual). WLabs commits to notifying the Client at least 30 (thirty) days in advance about any price adjustments applied to the plans.

The new adjusted prices for the respective subscription plans will apply starting from the renewal of the current subscription, according to the chosen frequency (monthly or annual).

The Client may change their subscription plan and payment method at any time, and must adjust to the specifics of the newly selected options.

If payment is made via bank slip, the Platform functionalities will only be unlocked after the bank's due compensation, which may take a few business days, depending on the bank or payment method used by the User.

The Client may change a previously associated credit card at any time. To do this, they should access the "My Cards" section and follow the instructions to include a new credit card.

The Client is solely responsible for the regular payment of their bank slips or for any issues that arise with the credit card associated with their account, such as expiration, cancellation, or other difficulties that prevent regular payment processing for the WLabs plans.

In all cases, failure to process a payment will result in the immediate suspension of the Client's access to the Platform's functionalities, until the situation is properly regularized.

The Client has up to 90 (ninety) calendar days to regularize the situation related to an unprocessed payment. If the Client does not resolve the situation within the stipulated period, their data and/or documents may be permanently deleted from WLabs's database.


Free Trial

The subscription plans may include a Free Trial period for the functionalities offered by WLabs. The duration of this period, as well as the specific conditions for using the Free Trial, will be disclosed on the websites of the WLabs platforms.

To use the Free Trial benefit, the User must register in our system and accept the Terms of Use and the Privacy and Security Policy, providing the necessary information for their initial registration.

At any time, during the Free Trial period, the User may subscribe to one of our plans and functionality packages. Simply access the "My Subscription" section and follow the instructions to complete their registration and payment details.

At the end of the Free Trial period, the User will be invited to subscribe to one of our plans and functionality packages. Simply follow the instructions presented to complete their registration and payment details.

If the User does not choose to subscribe to one of the available plans at the end of the Free Trial, the created account may be permanently deleted after a period of 7 (seven) calendar days from the expiration date of the Free Trial.


Cancellation of the Contracted Plan

The Client may request the cancellation of their subscription at any time. In this case, the Client will continue to have access to the functionalities offered by WLabs until the end of their subscription period.

To cancel the subscription, simply access the "My Account" menu and follow the cancellation instructions.

Cancellations made before the monthly closing date of the subscription do not entitle the Client to refunds or any other form of reimbursement of amounts paid. However, the Client will continue to have access to the functionalities offered by WLabs until the subscription period ends.

After 90 (ninety) calendar days from the cancellation of the contracted plan, any data and/or documents stored by the Client on WLabs may be permanently deleted.


6. Account

Intellectual Property

The User acknowledges and agrees that all technological resources of the Platform are and will remain the sole and exclusive property of WLabs.


Warranties and Responsibility

The User is solely responsible for determining whether the use of the Platform is suitable and sufficient for their objectives, assuming all risks associated with its use, including, but not limited to, the lack of evidentiary value of certain Documents. WLabs is not responsible for ensuring that Documents are considered valid, have evidentiary value, or are enforceable according to the laws of any jurisdiction. In case of doubt about the validity or enforceability of any Document, the user should seek appropriate legal advice from a qualified lawyer.

WLabs does not perform prior control nor monitors the content of any Document. Therefore, it does not control the accuracy, quality, security, legality, truthfulness, authenticity, or accuracy of any Document or any other content submitted by the User.

WLabs will not be held liable for acts of third parties or for failures or inoperabilities that may occur on the Platform.

WLabs is not a witness, guarantor, or party to any term, agreement, business, or other type of relationship formalized in a Document between Users, and will have no responsibility whatsoever concerning the validity, performance, outcome, or enforceability of these Documents and/or businesses.

Under no circumstances will WLabs be held liable for omissions or negligence in generating and electronically signing any Document and/or for any loss or corresponding damage.

If any law, rule, term, or other obligation requires compliance with certain conditions or the disclosure of certain information about an electronic document, electronic message, or electronic signature not covered or implemented by WLabs, the User agrees not to use the platform for signing such documents. WLabs does not intend to comply with all conditions that may apply to all types of documents. The User is fully responsible for determining the documents for which the electronic signature offered by the platform is appropriate.

WLabs will not be responsible for any disputes between Users/parties of a Document signed within the platform. Without limiting the general nature of the above, WLabs will not have any obligation to assist Users regarding the fulfillment of any obligation in any signed Document within the platform. Furthermore, WLabs will not have any obligation to facilitate or mediate any dispute between Users.

The User acknowledges and agrees that in no event will WLabs be liable for claims, losses, or damages arising from or related to:

  1. Use of the platform or the User's negligence and lack of understanding in using the platform;
  2. Instabilities or inoperabilities of the Platform;
  3. Unauthorized access to the Platform or unauthorized use of the Platform;
  4. Use of equipment, internet browser software, and communication systems to access or use the Platform;
  5. Errors, software viruses (trojan horse, worm, time bomb, cancelbot, among others), or similar issues that may be transmitted to the Platform or through the Platform by Users or third parties; and
  6. The User's failure to comply with these Terms of Use.

The User acknowledges and agrees that in no case will WLabs be responsible for any material, moral, or other loss or damage of any nature, or for loss of business opportunities, lost profits, business interruptions, computer failure, loss of business information, or any other similar loss or damage, whether arising from or related to the use of the WLabs Platform, regardless of the jurisdiction and whether the claim or action is based on civil wrongdoing or any other legal domain.

The User agrees to indemnify and hold harmless WLabs from any claim or demand, losses, damages, and/or expenses (including investigation costs, defense, reasonable attorney's fees, and court and judicial costs) arising from or related to any violation by them (or third parties with whom they interact) of these Terms of Use, law, regulation, or third-party rights.


Ownership and Account Control

The service provided by WLabs is contracted by the paying entity, which retains ownership and control of the account during the term of this contract. In the case of changes in the employment status of the individual(s) assigned to manage the account on behalf of the paying entity, including but not limited to dismissal or role change, the paying entity must designate a new account administrator and inform WLabs immediately through a formal request. The transfer of administration will be carried out following a verification process to ensure secure and authorized continuity of the service. WLabs reserves the right to request additional supporting documentation to confirm the changes and protect the integrity of the account. The privacy and personal data of the previous administrator(s) will be handled according to applicable data protection and privacy laws, and any unnecessary personal information will be removed in accordance with those laws.


Third-Party Services

Some features offered by WLabs require third-party APIs or other services to function properly. Examples of such applications include automatic data filling, such as zip code, CPF, or CNPJ, as well as the use of Artificial Intelligence to generate content or information.

These third-party services are not owned or managed by WLabs.

The User is solely responsible for determining whether the use of such functionalities is appropriate and sufficient for their objectives, assuming all risks associated with their use. WLabs is not liable for the content, privacy policies, or practices of any third-party services.

We recommend that you read and evaluate the terms and conditions and privacy policies of any third-party services used in our products and functionalities.


Modification, Suspension, or Termination of Services

WLabs aims for the User to have the best possible experience using the functionalities offered by our platforms.

Therefore, we are committed to always seeking quick and secure solutions for issues related to the services we offer.

However, it is important for the User to understand that, occasionally, there may be instabilities or suspensions in the provision of our functionalities, and in some cases, the quick resolution of these issues may not directly depend on WLabs.

WLabs is not responsible for the instability, suspension, or interruption in the provision of the contracted services or functionalities, even if such occurrences result in loss of data, information, or other damages or losses to the User or their business.

WLabs reserves the right to add, modify, suspend, or even stop providing, in part or entirely, the plans, services, or functionalities offered.

If WLabs permanently discontinues any functionality of a certain System/Platform, it will inform Clients of this modification at least 30 days in advance.

If WLabs permanently discontinues a certain System/Platform entirely, it will inform Clients of the termination of services at least 180 days in advance, and offer, at no cost, a full backup of all data.

If you no longer wish to use the services offered by WLabs, the User must contact us via email at [email protected]. We will do our best to clarify any doubts.


7. Development of New Features

The development of new features refers to the creation and integration of tools, resources, or custom adjustments in WLabs platforms and systems. These features are developed according to the client's needs, following a previously defined scope formalized in a specific contract that complements these Terms of Use.

The development completion deadline will be established in the contract and may be reviewed if there are changes in the scope.

WLabs commits to:

  • Develop the features according to the agreed scope, ensuring compliance with security standards and applicable legislation, including the LGPD.
  • Provide technical support during the warranty period specified in the contract.
  • Ensure the confidentiality of any client data or information accessed during the execution of the service for 5 (five) years after contract termination.

The intellectual property of the developed features remains with WLabs, which reserves the right to integrate them into its platforms and make them available to other clients, ensuring the protection and confidentiality of the contracting client's data.

WLabs does not provide source code or grant exclusive rights to the developed features, as it is a SaaS system. The company may incorporate features into the general system if deemed strategically beneficial.

8. Deployment Services

The deployment service consists of implementing the functionalities developed by WLabs, including importing client data and configuring the platforms according to the agreed scope, formalized in a commercial proposal or specific contract.

The deployment involves:

  • Integration of functionalities into the system;
  • Environment configuration;
  • Data migration;
  • Adapting the platform to the client's needs.

8.1 Client Responsibilities:

  • Provide all necessary information and resources, including data for import and specific configurations.
  • Ensure that the information is complete and accurate to enable proper deployment.
  • Make payments on time as stipulated in the contract.
  • Notify WLabs of any inconsistencies or errors identified during deployment.
  • Attend remote alignment and review meetings (either personally or via a representative).

WLabs provides technical support and corrective maintenance for 30 (thirty) consecutive days after the delivery of the functionalities. After this period, additional services may be contracted separately.

If the client does not attend deployment meetings or reviews, the service will be considered completed in its current state. If WLabs fails to attend the deployment sprints, the amount agreed in the complementary contract will be fully refunded.

9. Marketplace

WLabs provides an integrated Marketplace within its platforms, where users can explore, purchase, and manage additional functionalities and custom services to optimize their solutions.

The Marketplace offers two types of services:

  1. Ready-to-Use Feature Packages: Additional functionalities already developed, available for immediate purchase. The cost of the purchased functionality is added to the user’s monthly or annual subscription.
  2. Custom Development and Deployment Services: Standalone packages that include the development of new features, deployment, and data configuration according to the client’s needs. These services are billed separately, with prices and deadlines defined in a specific contract.

Access to the Marketplace is subject to WLabs’ Terms of Use and Privacy Policies. By purchasing any functionality or service, the user agrees to the payment, support, and responsibilities outlined in the respective contracts or terms of acceptance.

WLabs reserves the right to add, modify, or remove functionalities and services from the Marketplace at any time, without prior notice, ensuring compliance with existing contractual obligations.

10. Legal Validity of Electronic Signatures for Private Documents

An electronic signature, also known as an e-signature, is a digital representation of a person’s signature used to authenticate documents and indicate the signer's intent to be bound by its content. These signatures can be applied to various types of electronic documents and other business-related papers.

It is important to note that the legal framework surrounding electronic signatures may vary from country to country. However, there are several international agreements and laws that provide a solid basis for the recognition and applicability of electronic signatures in cross-border transactions.

These legal frameworks aim to eliminate barriers to e-commerce and establish equitable conditions for businesses involved in international transactions. They recognize the validity and applicability of electronic signatures, granting them the same legal status as handwritten signatures in most cases.

One such agreement is the Model Law on Electronic Signatures from the United Nations Commission on International Trade Law (UNCITRAL), which serves as a guide for countries in drafting their own laws on electronic signatures. Many countries around the world have adopted laws based on or inspired by this model law, ensuring the legal recognition of electronic signatures.

WLABS prioritizes the security and legality of electronic signatures across all our platforms and solutions. We use secure and trusted encryption, in compliance with relevant international standards and regulations, ensuring the integrity of signed documents and providing a tamper-proof audit trail for enhanced security.

Applicable Law and Jurisdiction

This Agreement is governed by the laws of the Federative Republic of Brazil.

The parties elect the court of Belo Horizonte/MG to resolve any disputes regarding this Agreement, waiving any other, no matter how privileged it may be.
